These terms and conditions ("Terms") govern your use of the corporate application portal (the "Portal") provided by Cynefian. By using the Portal, you agree to these Terms. If you do not agree to these Terms, do not use the Portal. License to Use the Portal Subject to your compliance with these Terms, Cynefian grants you a limited, non-exclusive, non-transferable license to access and use the Portal for your internal business purposes only. Your Responsibilities You are responsible for: Ensuring that your use of the Portal complies with these Terms, all applicable laws and regulations, and the terms and conditions of any agreements between you and Cynefian Maintaining the confidentiality and security of your Portal account and any account credentials Ensuring that any information you provide to Cynefian is accurate, complete, and up-to-date Prohibited Uses You may not use the Portal for any of the following purposes: To violate any applicable laws or regulations To infringe the intellectual property rights or privacy rights of any third party To transmit any viruses, malware, or other harmful code To engage in any activity that interferes with or disrupts the Portal or Cynefian's systems or networks To attempt to gain unauthorized access to the Portal or any Cynefian systems or networks To use the Portal for any illegal or unauthorized purpose Intellectual Property The Portal and its content, including all text, graphics, images, and other materials, are owned by Cynefian or the owners of the respective applications or its licensors and are protected by intellectual property laws. You may not use the Portal or its content for any commercial purpose without Cynefian's prior written consent. Disclaimer of Warranties THE PORTAL IS PROVIDED "AS IS" AND CYNEFIAN DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. CYNEFIAN DOES NOT WARRANT THAT THE PORTAL WILL MEET YOUR REQUIREMENTS OR THAT YOUR USE OF THE PORTAL WILL BE UNINTERRUPTED OR ERROR-FREE. Limitation of Liability IN NO EVENT SHALL CYNEFIAN BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, ARISING OUT OF YOUR USE OR INABILITY TO USE THE PORTAL, INCLUDING WITHOUT LIMITATION ANY LOSS OF PROFITS, REVENUE, DATA, OR USE. Indemnification You agree to indemnify, defend, and hold harmless Cynefian and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or in connection with your use of the Portal or your breach of these Terms. Termination Cynefian may terminate your access to the Portal at any time without notice if you breach these Terms or for any other reason. Upon termination, you must immediately stop using the Portal and destroy any copies of Portal content in your possession. Governing Law and Jurisdiction These Terms and your use of the Portal shall be governed by and construed in accordance with the laws of India, without giving effect to any principles of conflicts of law. Any legal action or proceeding arising out of or in connection with these Terms or the Portal shall be brought exclusively in the courts of India. Changes to these Terms Cynefian may update these Terms from time to time by posting a new version on the Portal. Your continued use of the Portal after such an update constitutes your acceptance of the updated Terms. It is your responsibility to review the most current version of these Terms on a regular basis. Entire Agreement These Terms constitute the entire agreement between you and Cynefian regarding your use of the Portal and supersede all prior agreements and understandings, whether written or oral. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
